1. Acceptance of Terms
These Terms of Service ("Terms", "Agreement") constitute a binding legal agreement between you ("you", "your", or "User") and Techsnap LLC, a California limited liability company ("Techsnap", "we", "us", or "our"). By accessing or using the Techsnap platform, website located at techsnap.io, or any related services (collectively, the "Platform" or "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, you must immediately cease using the Platform. By continuing to access or use our Services, you represent and warrant that you have the legal capacity and authority to enter into this Agreement on behalf of yourself or any entity you represent.
IMPORTANT: These Terms contain provisions that limit our liability to you and require you to resolve disputes with us through binding arbitration on an individual basis, not through class actions. Please review Sections 14 and 15 carefully.
2. Eligibility and Account Registration
2.1 Age Requirement
You must be at least 18 years of age to use the Platform. By using our Services, you represent and warrant that you are 18 years or older. We do not knowingly collect information from or direct any of our Services to persons under the age of 18.
2.2 Account Creation and Verification
To access certain features of the Platform, including the ability to buy or sell personal computers ("PCs" or "Items"), you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to maintain its accuracy.
Seller accounts are subject to verification and approval at Techsnap's sole discretion. Not all users who register will be granted seller privileges. We reserve the right to reject any application for a seller account without providing a reason.
2.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Techsnap of any unauthorized use of your account or any other breach of security. Techsnap will not be liable for any losses or damages arising from your failure to protect your account credentials or from unauthorized account access.
2.4 Account Suspension and Termination
Techsnap reserves the right to suspend or terminate your account at any time, with or without notice, for any reason or no reason, including but not limited to:
• Violation of these Terms or any applicable laws or regulations
• Fraudulent, illegal, or suspicious activity
• Multiple return disputes or abuse of our return policy
• Poor seller performance, including late shipments or misrepresentation of Items
• At Techsnap's sole discretion for any legitimate business reason
Users who have been suspended or terminated from the Platform may not create new accounts or access the Services through alternative means. Suspended or terminated users are not entitled to refunds of any fees paid.
3. Description of Services
3.1 Platform Overview
Techsnap operates an online marketplace platform that connects buyers and sellers of personal computers. The Platform enables verified sellers ("Sellers") to list PCs for sale at fixed prices and allows buyers ("Buyers") to purchase those Items. Users may act as both Buyers and Sellers on the Platform.
Important: Techsnap is a marketplace facilitator and is not a party to any transaction between Buyers and Sellers. When a Buyer purchases an Item from a Seller, a direct contract for sale is formed between the Buyer and Seller. Techsnap does not take ownership, possession, or title to any Items listed or sold on the Platform. Techsnap provides transaction facilitation, payment processing, dispute resolution assistance, and related services, but does not guarantee the quality, safety, legality, or accuracy of any Items or listings.
3.2 No Offers or Negotiations
Techsnap does not permit buyers to make offers or negotiate prices on listed Items. All Items are sold at the fixed price established by the Seller. When a Buyer initiates a purchase, they agree to pay the full listed price plus any applicable shipping costs and sales taxes.
3.3 Platform Modifications
Techsnap reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We may impose limits on certain features, restrict access to parts of the Platform, or establish general practices concerning use of the Services. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
4. Buyer and Seller Relationship
4.1 Direct Contractual Relationship
When a Buyer purchases an Item from a Seller on the Platform, a binding contract of sale is formed directly between the Buyer and Seller. Techsnap is not a party to this contract and assumes no liability or responsibility for the performance, quality, condition, safety, legality, or any other aspect of the Item or the transaction.
4.2 User Risks and Responsibilities
You acknowledge and agree that there are inherent risks in buying and selling Items through an online marketplace. Unless expressly stated otherwise in these Terms or our Return Policy, you assume all risks associated with transactions on the Platform. You are solely responsible for evaluating the suitability, legality, and accuracy of any Item before purchasing or selling it. Techsnap does not verify, endorse, or guarantee any listings, Items, or User representations.
4.3 On-Platform Communication Requirement
All communication between Buyers and Sellers related to transactions must be conducted through Techsnap's messaging system. Users are prohibited from exchanging personal contact information or conducting transaction-related discussions outside of the Platform. This requirement protects both parties by ensuring that Techsnap can assist with dispute resolution and maintain transaction records. Violations of this policy may result in account suspension or termination.
5. Listings and Prohibited Items
5.1 Seller Listing Requirements
Sellers must provide accurate, complete, and truthful information in all listings. Each listing must include:
• A detailed description of the PC, including all components with specific model numbers and specifications
• Clear photographs of the actual Item being sold (stock photos are prohibited)
• Disclosure of any cosmetic defects, wear, or imperfections
• Accurate information regarding the Item's functionality and condition
Sellers represent and warrant that they have all rights necessary to sell the Items they list and that all listings comply with applicable laws and these Terms.
5.2 Functional Items Only
All Items listed on Techsnap must be fully functional and operational as described in the listing. The following are strictly prohibited:
• "As-is" or "for parts" listings
• Non-working or defective PCs
• PCs with undisclosed defects or missing components
• Items that do not match the condition or specifications stated in the listing
5.3 Prohibited Items and Activities
The following items and activities are strictly prohibited on the Platform:
• Stolen, counterfeit, or illegally obtained goods
• Items that infringe upon intellectual property rights, including counterfeit products
• PCs containing pirated software, unlicensed operating systems, or invalid software licenses
• Items containing malware, viruses, spyware, or other malicious code
• Any item that is illegal to possess, sell, or ship under federal, state, or local law
• Items designed to circumvent copyright protection or digital rights management technologies
Techsnap reserves the right to remove any listing that violates these Terms, is misleading, or is otherwise objectionable in our sole discretion.
5.4 Cross-Platform Listings
Sellers may list the same PC on other platforms simultaneously. However, Sellers must immediately remove the listing from all platforms once the Item has been sold on any platform. Failure to promptly remove listings after sale may result in account penalties or termination.
6. Purchasing and Payment
6.1 Binding Purchase Commitment
When a Buyer initiates a purchase of an Item, they are making a binding commitment to complete the transaction. Upon purchase confirmation, the Buyer is obligated to remit payment for the Item's full listed price, plus any applicable shipping costs and sales taxes.
6.2 Payment Processing
All payments are processed through Stripe or other payment processors approved by Techsnap. By submitting payment information, you authorize Techsnap and its payment processors to store and charge that payment method for any purchases you make on the Platform. You represent and warrant that you have the legal right to use any payment method you provide.
6.3 Escrow and Payment Holds
Techsnap holds Buyer payments in escrow during the inspection period described in our Return Policy. Techsnap initiates payout to the Seller 72 hours after confirmed delivery, or sooner if the Buyer provides positive feedback. If a return request is filed during the inspection period, the payment will remain held pending resolution of the dispute.
6.4 Fraud Prevention
Techsnap may delay or refuse to process any transaction for purposes of fraud detection, verification, or to protect users from illegal or wrongful activities. We reserve the right to cancel transactions that we determine, in our sole discretion, to be fraudulent or otherwise suspicious.
7. Fees and Taxes
7.1 Seller Fees
Sellers are charged the following fees for each completed transaction, which are deducted from the Seller's payout: (1) a Techsnap platform fee of 9% of the Item price only (excluding shipping and taxes), and (2) a payment processing fee charged by Stripe of 2.9% plus $0.30 per transaction, calculated on the total amount charged to the buyer (including item price, shipping, and sales tax). The Techsnap platform fee may vary based on individual seller agreements or promotional programs. All fees are deducted from the Seller's payout upon payment release.
7.2 Sales Tax Collection
As a marketplace facilitator, Techsnap collects and remits sales tax on behalf of Sellers in accordance with applicable state and local tax laws. The amount of sales tax charged depends on factors including the Item price, shipping destination, and applicable tax rates at the time of purchase. Sales tax is calculated and collected automatically at checkout.
7.3 User Tax Responsibilities
While Techsnap collects and remits sales tax, Users remain responsible for compliance with all other applicable tax obligations, including income tax reporting and payment. Sellers are responsible for reporting income from sales on the Platform to appropriate tax authorities. Buyers and Sellers should consult with tax professionals regarding their specific tax obligations.
7.4 Currency
All amounts on the Platform are quoted in United States Dollars (USD) unless otherwise stated.
8. Shipping and Delivery
8.1 Seller Shipping Obligations
Sellers must ship purchased Items within five (5) business days of purchase confirmation. Techsnap generates prepaid shipping labels through Shippo based on package dimensions and weight provided by the Seller. Sellers are responsible for:
• Providing accurate weight and dimension specifications for the packaged Item
• Packaging the Item securely to prevent damage during transit
• Using the Techsnap-provided prepaid shipping label
• Providing tracking information to the Buyer through the Platform
Sellers must not provide inflated or inaccurate package dimensions or weight in an attempt to exploit shipping costs. Any shipping surcharges resulting from incorrect weight or dimensions provided by the Seller may be deducted from the Seller's payout.
8.2 Domestic Shipping Only
Techsnap currently supports domestic shipping within the United States only. International shipping is prohibited. All Items must be shipped to verified U.S. addresses. Use of international forwarding services voids all buyer protections under our Return Policy.
8.3 Title Transfer and Risk of Loss
Title to and risk of loss for an Item transfers from Seller to Buyer upon shipment. Once the Item has been delivered to the carrier, the Seller is no longer responsible for loss, damage, or delay during shipping, except as provided in our Return Policy.
8.4 Shipping Damage
If an Item arrives damaged, the Buyer must report the damage within the inspection period specified in our Return Policy. All shipments use Techsnap-provided prepaid shipping labels, and Techsnap will handle any necessary insurance claims for shipping damage.
9. Returns and Refunds
Returns, refunds, buyer protection, and related procedures are governed by our separate Return Policy, which is incorporated into these Terms by reference. All Users must comply with the Return Policy, and any violations may result in account suspension or termination. The current Return Policy is available at https://techsnap.io/return-policy.
10. User Content and Intellectual Property
10.1 User Content Defined
"User Content" means any information, data, text, photographs, images, videos, listings, descriptions, messages, reviews, feedback, or other materials that you submit, post, upload, or transmit through the Platform.
10.2 User Content Ownership and License
You retain ownership of any User Content you submit to the Platform. However, by submitting User Content, you grant Techsnap and its affiliates a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your User Content in connection with operating the Platform, promoting our Services, and conducting our business. This license includes the right to display your listings on the Platform, share them on social media, use them in marketing materials, and allow other users to view and interact with your content.
10.3 User Content Representations
By submitting User Content, you represent and warrant that:
• You own all rights to the User Content or have obtained all necessary permissions and licenses
• Your User Content does not infringe upon the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party
• Your User Content complies with all applicable laws and these Terms
• You have the right to grant the license described in Section 10.2
10.4 Prohibited User Content
You agree not to submit User Content that:
• Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable
• Infringes any patent, trademark, trade secret, copyright, or other proprietary rights
• Contains software viruses, malware, or any other harmful code
• Impersonates any person or entity or misrepresents your affiliation with a person or entity
• Promotes illegal activities or violates any applicable law or regulation
• Constitutes spam, unsolicited advertising, or commercial solicitation
10.5 Content Monitoring and Removal
Techsnap is not obligated to monitor or review User Content but reserves the right to do so at any time without notice. We may remove, edit, or refuse to display any User Content that violates these Terms, is inappropriate, or is otherwise objectionable in our sole discretion. We are not responsible for the accuracy, completeness, appropriateness, or legality of User Content.
10.6 Techsnap Intellectual Property
All content and materials available on the Platform, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof ("Platform Content"), are the property of Techsnap or its licensors and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.
The Techsnap name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Techsnap or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Platform are the trademarks of their respective owners.
11. Intellectual Property Infringement
11.1 DMCA Compliance
Techsnap respects the intellectual property rights of others and expects Users to do the same. We respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA") and other applicable intellectual property laws.
11.2 Filing an Infringement Notice
If you believe that your copyrighted work or other intellectual property has been infringed, please provide our designated Copyright Agent with the following information:
• A physical or electronic signature of the copyright owner or person authorized to act on their behalf
• Identification of the copyrighted work claimed to have been infringed
• Identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate the material on the Platform
• Your contact information, including address, telephone number, and email address
• A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
• A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner
Infringement notices should be sent to: help@techsnap.io (Subject: DMCA Takedown Request)
11.3 Counter-Notice
If your content was removed due to an infringement claim and you believe the removal was made in error, you may file a counter-notice with our Copyright Agent containing:
• Your physical or electronic signature
• Identification of the removed content and its location before removal
• A statement under penalty of perjury that you have a good-faith belief the content was removed due to mistake or misidentification
• Your name, address, telephone number, and a statement that you consent to jurisdiction in the federal court for the judicial district in which your address is located (or the Northern District of California if outside the U.S.), and that you will accept service of process from the party who filed the original infringement notice
Upon receipt of a valid counter-notice, we will forward it to the party who filed the original complaint and may restore the removed content within 10-14 business days unless the complaining party notifies us that they have filed a court action to restrain the allegedly infringing activity.
12. Prohibited Conduct
In addition to other restrictions set forth in these Terms, you agree that you will not:
• Use the Platform for any illegal purpose or in violation of any federal, state, local, or international law or regulation
• Violate or infringe the rights of others, including intellectual property, privacy, publicity, or contractual rights
• Engage in fraudulent activities, including but not limited to payment fraud, listing fraud, return fraud, or identity theft
• Submit false, misleading, or deceptive listings or information
• Manipulate prices, engage in price fixing, or otherwise interfere with the marketplace
• Harass, threaten, stalk, intimidate, or harm other Users
• Interfere with or disrupt the Platform, servers, or networks connected to the Platform
• Use any robot, spider, scraper, or other automated means to access the Platform without our express written permission
• Attempt to gain unauthorized access to any portion of the Platform, other User accounts, or computer systems or networks
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Platform
• Circumvent or disable any security features or measures of the Platform
• Collect or harvest personal information about other Users without their consent
• Create multiple accounts to evade restrictions or suspensions
• Attempt to take transactions off the Platform to avoid fees or circumvent buyer/seller protections
• Use the Platform to send spam, junk mail, chain letters, or unsolicited communications
• Upload or transmit viruses, malware, or any other malicious code
• Encourage, assist, or enable any other party to engage in any of the prohibited activities listed above
13. Third-Party Services and Links
The Platform may integrate with or provide links to third-party services, websites, or resources ("Third-Party Services"), including but not limited to payment processors (Stripe), shipping services (Shippo), and other service providers. These Third-Party Services are not under Techsnap's control, and we are not responsible for their content, privacy practices, terms of service, or functionality.
Your use of Third-Party Services is at your own risk and is subject to the terms and conditions and privacy policies of those third parties. We do not endorse, warrant, or guarantee any Third-Party Services. You should review the applicable terms and privacy policies of any Third-Party Service before using it or sharing information with it.
Techsnap provides Third-Party Services "AS IS" without warranty of any kind. We reserve the right to add, modify, or remove Third-Party Service integrations at any time without notice.
14. Disclaimers of Warranties
YOUR USE OF THE PLATFORM AND SERVICES IS AT YOUR SOLE RISK. THE PLATFORM AND ALL SERVICES, CONTENT, AND MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TECHSNAP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, TECHSNAP DOES NOT WARRANT THAT:
• THE PLATFORM WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS
• THE RESULTS OBTAINED FROM USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE
• THE QUALITY OF ANY ITEMS, SERVICES, INFORMATION, OR OTHER MATERIALS OBTAINED THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS
• ANY DEFECTS IN THE PLATFORM WILL BE CORRECTED
TECHSNAP MAKES NO GUARANTEE REGARDING THE AUTHENTICITY, QUALITY, SAFETY, LEGALITY, OR ACCURACY OF ANY ITEMS OR LISTINGS ON THE PLATFORM. TECHSNAP DOES NOT VERIFY USER IDENTITIES OR THE TRUTHFULNESS OF USER REPRESENTATIONS. WE DO NOT GUARANTEE THAT BUYERS AND SELLERS WILL COMPLETE TRANSACTIONS OR THAT ANY PARTICULAR TRANSACTION WILL BE SUCCESSFUL.
ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH USE OF THE PLATFORM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA RESULTING FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TECHSNAP, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS (COLLECTIVELY, "TECHSNAP PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF TECHSNAP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TECHSNAP IS NOT LIABLE FOR:
• ANY USER CONTENT POSTED ON THE PLATFORM
• ANY TRANSACTIONS, DISPUTES, OR INTERACTIONS BETWEEN USERS
• THE QUALITY, SAFETY, LEGALITY, OR ACCURACY OF ANY ITEMS OR LISTINGS
• ANY DAMAGES RESULTING FROM THIRD-PARTY SERVICES
• ANY CONDUCT OR CONTENT OF THIRD PARTIES ON THE PLATFORM
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
• STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE PLATFORM
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF TECHSNAP PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO TECHSNAP IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100).
THE LIMITATIONS SET FORTH IN THIS SECTION WILL NOT LIMIT OR EXCLUDE LIABILITY FOR GROSS NEGLIGENCE, FRAUD, INTENTIONAL MISCONDUCT, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
16. Indemnification
You agree to defend, indemnify, and hold harmless the Techsnap Parties from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorney's fees) arising from or relating to:
• Your use of or access to the Platform
• Your violation of these Terms
• Your violation of any rights of another party, including other Users
• Your User Content or any Items you list or sell on the Platform
• Any transactions you enter into as a Buyer or Seller
• Your breach of any representation or warranty contained in these Terms
This indemnification obligation will survive termination of these Terms and your use of the Platform.
If you are a California resident, you waive California Civil Code Section 1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." If you are a resident of another jurisdiction, you waive any comparable statute or doctrine.
17. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
17.1 Informal Dispute Resolution
Before initiating arbitration or any legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Platform ("Dispute") informally by contacting Techsnap at help@techsnap.io with a detailed description of the Dispute and the relief sought. We will attempt to resolve the Dispute informally by contacting you via email. If the Dispute is not resolved within sixty (60) calendar days after submission, either party may initiate arbitration.
17.2 Binding Arbitration
If the parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THESE TERMS, YOU AND TECHSNAP ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the AAA's Commercial Arbitration Rules and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes ("AAA Rules"), as modified by these Terms. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879.
The arbitration will be conducted by a single neutral arbitrator. For disputes involving less than $10,000, the arbitration will be conducted remotely through document submission or telephonic hearing, unless an in-person hearing is legally required or requested by either party. For disputes involving $10,000 or more, the arbitration location will be mutually agreed upon by the parties or, if no agreement can be reached, determined by the arbitrator in a location convenient to both parties.
The arbitrator will have exclusive authority to resolve all Disputes, including the scope and enforceability of this arbitration agreement. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction. However, the arbitrator may not award damages in excess of the limitations set forth in Section 15 of these Terms.
17.3 Arbitration Fees
If the value of the relief sought is $10,000 or less, at your request, Techsnap will pay all AAA filing, administration, and arbitrator fees. If the relief sought exceeds $10,000, fees will be determined in accordance with the AAA Rules. If the arbitrator finds the arbitration to be non-frivolous, Techsnap will pay all filing, administration, and arbitrator fees. If the arbitrator finds the arbitration to be frivolous, you will be responsible for reimbursing Techsnap for fees paid on your behalf.
17.4 Exceptions to Arbitration
Notwithstanding the parties' agreement to arbitrate, either party may bring an action in court to:
• Seek injunctive or other equitable relief to protect intellectual property rights
• Pursue claims in small claims court if the claims qualify and remain in small claims court
Additionally, either party may seek interim or provisional relief from a court of competent jurisdiction to preserve the status quo or prevent irreparable harm pending arbitration.
17.5 No Class Actions
YOU AND TECHSNAP AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. UNLESS BOTH PARTIES AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
17.6 Modifications to This Arbitration Provision
If Techsnap makes any future changes to this arbitration provision (other than a change to Techsnap's address for notice), you may reject the change by sending written notice to Techsnap within thirty (30) calendar days of the change. In such case, the arbitration provision in effect immediately prior to the change will apply to any Disputes between you and Techsnap.
18. Governing Law and Venue
These Terms and any Disputes will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. To the extent that any lawsuit or court proceeding is permitted under these Terms, you and Techsnap agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Sacramento County, California.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
19. General Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy and Return Policy, constitute the entire agreement between you and Techsnap regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
19.2 Modifications to Terms
Techsnap reserves the right to modify these Terms at any time in its sole discretion. When we make changes, we will post the updated Terms on the Platform and update the "Last Updated" date at the top of these Terms. If we make material changes, we may also notify you by email or through a notification on the Platform.
Changes will become effective ten (10) calendar days after posting for existing users and immediately for new users. Your continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Platform.
19.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid, illegal, or unenforceable provision will be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent, or if such modification is not possible, it will be severed from these Terms.
19.4 Waiver
No waiver of any provision of these Terms will be deemed a further or continuing waiver of such provision or any other provision. Techsnap's failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision.
19.5 Assignment
You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without Techsnap's prior written consent. Techsnap may assign, transfer, or delegate these Terms and its rights and obligations without restriction. Any attempted assignment in violation of this section will be null and void.
19.6 Survival
All provisions of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitations of liability, dispute resolution, and arbitration provisions.
19.7 Force Majeure
Techsnap will not be liable for any failure or delay in performing obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
19.8 Electronic Communications
When you use the Platform or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically, including via email or by posting notices on the Platform. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
19.9 Export Controls
The Platform may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce. You represent and warrant that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
19.10 Relationship of Parties
Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchising relationship between you and Techsnap. You have no authority to bind Techsnap or make any representations on Techsnap's behalf.
19.11 Section Headings
Section headings are provided for convenience only and have no legal or contractual effect.
19.12 Limitation Period for Claims
Unless prohibited by applicable law, any claim or cause of action arising out of or related to these Terms or the Platform must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred.
